Form 205 – Certificate of Formation for a Limited Liability Company is used to form a domestic Texas LLC. The filing fee is $300. Article 2 of the form must designate a registered agent and registered office address. 

Form 206 – Certificate of Formation for a Professional Limited Liability Company (PLLC) is used by licensed professionals (such as attorneys, physicians, or engineers) to form a PLLC under BOC Chapter 301. The filing fee is $300

Texas Nonprofit Organization Forms

Domestic Nonprofit Formation:

Form 202 – Certificate of Formation for a Nonprofit Corporation is used to form a domestic Texas nonprofit corporation. The filing fee is $25. Form 208 – Uniform Unincorporated Nonprofit Association Summary provides an informational summary for unincorporated nonprofit associations. This form does not create a legal entity and carries no filing fee. An unincorporated nonprofit association may optionally designate a registered agent by filing Form 706.

Foreign Nonprofit Registration:

Form 302 – Application for Registration of a Foreign Nonprofit Corporation is used by out-of-state nonprofit corporations registering to transact business in Texas. The filing fee is $25.

Form 207 – Certificate of Formation for a Limited Partnership is used to form a domestic Texas limited partnership. The filing fee is $750. The certificate of formation must designate a registered agent and registered office address in Texas. 

Texas Limited Liability Partnership (LLP) Registration:

Form 701 – Registration as a Texas Limited Liability Partnership or LLLP is used by a Texas general partnership or limited partnership to register as an LLP or LLLP. The filing fee is $200 per partner. Unlike a certificate of formation, Form 701 does not create a new entity; it registers an existing partnership’s limited liability status.

Is Form 401-A required to be filed with the Texas Secretary of State?

No. Form 401-A – Consent of Registered Agent to Appointment is not filed with the Texas Secretary of State. Under BOC §5.2011, a registered agent must consent in written or electronic form to serve before being named in any filing instrument. That consent is retained in the entity’s internal records. When an authorized official signs Form 401 or a certificate of formation that names a registered agent, the signature constitutes an affirmation that the designated agent has already consented to serve. Naming a person as a registered agent without their consent may result in criminal liability under BOC §4.008.

What form is used to change a registered agent in Texas?

Form 401 – Statement of Change of Registered Agent and/or Registered Office is used by a domestic or foreign filing entity to change its registered agent, its registered office address, or both. The filing fee is $15 for most entities and $5 for nonprofit corporations and cooperative associations. Form 401 may be filed online through SOSDirect, by mail to P.O. Box 13697, Austin, TX 78711-3697, or in person at the James Earl Rudder Office Building, 1019 Brazos, Austin, TX 78701.

What is the difference between Form 401 and Form 408?

Form 401 is filed by the entity and may be used to appoint a different registered agent, change the registered office address, or do both in a single filing. Form 408 is filed by the registered agent itself and is used only when the same individual or organization continues to serve as registered agent but is changing its own name or address. Form 408 cannot be used to appoint a new or different agent. A key practical advantage of Form 408 is that a single filing may cover all entities represented by that agent, subject to per-entity fees and maximum fee caps. Before filing Form 408, the agent must give at least 10 days’ written notice to each represented entity, as required by BOC §5.203.

Is there a fee to form a nonprofit corporation in Texas?

Yes. The filing fee for Form 202 – Certificate of Formation for a Nonprofit Corporation is $25. This is reduced from the $300 fee that applies to for-profit entities such as LLCs, for-profit corporations, and professional corporations. The form used depends on the type of LLC:
